Terms of Service

These Terms of Service govern access to and use of NexusPoynt, a business-to-business software platform operated by Embers Studio DOOEL.

By accessing or using NexusPoynt, you confirm that you are acting on behalf of a business or organisation and that you have authority to bind that organisation to these Terms.

1. About NexusPoynt

NexusPoynt is a B2B software platform designed to support business operations including product management, client management, order management, reporting, user access and dedicated client portals.

NexusPoynt is not intended for personal or consumer use.

3. Business Accounts

Access to NexusPoynt may be provided to organisations and their authorised users.

Customers are responsible for ensuring that account information is accurate and that access is provided only to authorised personnel.

Customers are responsible for all activity carried out through accounts under their control.

4. Account Security

Users must keep login credentials, authentication codes and security information confidential.

Customers must notify us promptly if they believe an account has been compromised or accessed without authorisation.

We may suspend access where we reasonably believe there is a security risk, misuse or unauthorised activity.

5. Permitted Use

NexusPoynt may be used only for lawful business purposes.

Users must not:

• Attempt to gain unauthorised access to the platform or infrastructure
• Interfere with the operation or security of NexusPoynt
• Attempt to bypass access controls or security mechanisms
• Use the platform to transmit unlawful or malicious content
• Introduce malware, harmful code or automated attacks
• Attempt to reverse engineer protected platform components except where permitted by law
• Use NexusPoynt in a way that infringes the rights of another person or organisation
• Provide access to unauthorised third parties

6. Customer Data

Customers retain responsibility for the business data they enter, upload or manage through NexusPoynt.

Customers must ensure that they have the necessary rights and lawful basis to provide and process any personal or business information entered into the platform.

We may process customer data as necessary to provide, secure, maintain and support the NexusPoynt service.

7. Intellectual Property

NexusPoynt, including its software, interface, design, branding, source code, database structure, documentation and related materials, is owned by or licensed to Embers Studio DOOEL.

No ownership rights are transferred to customers through use of the platform.

Customers receive only the limited right to use NexusPoynt in accordance with their commercial agreement and these Terms.

8. Fees and Payment

Fees, billing terms, subscription periods and payment arrangements will be specified in the applicable quotation, order form, subscription agreement or other commercial agreement.

Unless otherwise agreed in writing, all amounts are payable according to the payment terms stated in the relevant invoice or agreement.

9. Changes to the Service

We may update, improve, modify or replace parts of NexusPoynt from time to time.

This may include updates to features, security controls, interfaces, infrastructure or integrations.

10. Availability and Maintenance

We aim to provide reliable access to NexusPoynt but do not guarantee uninterrupted or error-free availability.

Access may occasionally be interrupted for maintenance, updates, security work, infrastructure issues or circumstances outside our reasonable control.

11. Third-Party Services

NexusPoynt may integrate with or rely upon third-party hosting, email, infrastructure, payment, API or other service providers.

We are not responsible for outages, changes or failures caused directly by third-party services outside our reasonable control.

12. Confidentiality

Each party must take reasonable steps to protect confidential business, technical and commercial information received from the other party.

Confidential information must not be disclosed except where required to provide the service, authorised by the other party or required by law.

13. Suspension and Termination

Access to NexusPoynt may be suspended or terminated where:

• Payments remain overdue
• These Terms or a commercial agreement are materially breached
• The platform is used unlawfully or abusively
• A serious security risk exists
• The relevant commercial agreement ends

Any rights relating to data export, retention or deletion following termination may be governed by the applicable commercial agreement.

14. Disclaimer

NexusPoynt is provided as a business software service.

While we take reasonable steps to maintain the reliability, security and functionality of the platform, no software system can be guaranteed to operate without interruption, defects or security risks.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Embers Studio DOOEL will not be liable for indirect, incidental, consequential or special losses arising from the use of NexusPoynt.

This may include loss of profits, revenue, business opportunities, goodwill or anticipated savings.

Any specific liability limits agreed between the customer and Embers Studio DOOEL in a written commercial agreement will take precedence where applicable.

16. Indemnity

A customer may be responsible for losses, claims or costs arising from its unlawful use of NexusPoynt, violation of these Terms, infringement of third-party rights or unauthorised use of the platform by persons under its control.

17. Data Protection

Personal data processed through NexusPoynt is handled in accordance with our Privacy Policy and applicable data protection requirements.

18. Governing Law

These Terms are governed by the laws of Macedonia unless otherwise agreed in writing between Embers Studio DOOEL and the customer.

19. Disputes

The parties should first attempt to resolve any dispute through good-faith business discussions.

Where a dispute cannot be resolved informally, it will be subject to the competent courts of Macedonia unless otherwise agreed in writing.

20. Changes to These Terms

We may update these Terms to reflect changes to NexusPoynt, applicable law, security requirements or our business operations.

The latest version will be published on this page with the date of the most recent update.
